The establishment of a legal entity gives rise to various associated rights, obligations, and liabilities. Consequently, terminating or ceasing the operations of a branch or representative office entails specific requirements to ensure the full discharge of obligations—procedures that are essential for successfully winding down operations. 1. Branches/representative offices and the termination thereof.
When considering the concept of a "branch," it is generally understood to refer to a business branch; therefore, this article focuses on the concept of a business branch. A branch can be understood as a dependent unit of an enterprise tasked with performing all or part of the enterprise's functions, including authorized representation. The business lines of the branch must correspond to the business lines of the enterprise.
A representative office is a dependent unit of an enterprise tasked with representing and protecting the enterprise's interests under authorization. A representative office does not perform the enterprise's business operations.
Thus, branches and representative offices share clear similarities: both are dependent units of an enterprise and perform functions related to representation. However, a key difference is that a branch is typically linked to business operations—such as the enterprise's business license - whereas a representative office primarily functions to represent the enterprise in dealings with external parties.
"Termination of operations" refers to the cessation of activity by an entity. From a legal perspective, termination signifies the end of the existence of an entity, such as a branch or representative office.
Consequently, the termination of operations for a branch or representative office entails the cessation of its activities and the end of its legal existence. If the winding-up of a business entity results in the cessation of operations of its dependent units, that cessation must still be accompanied by the fulfillment of outstanding financial and asset-related obligations owed to other parties.
2. Benefits of seeking legal counsel when terminating the operations of a branch or representative office.
As previously mentioned, the termination of operations of a commercial business entity cannot proceed if it has not yet fulfilled its financial or asset-related obligations to other parties. Furthermore, if the cessation of a dependent unit’s operations is not a voluntary, standalone action but rather the result of the parent enterprise’s own dissolution or termination, specific legal procedures must be followed. Consequently, engaging a lawyer to provide counsel during the termination of a branch or representative office is essential.
