Authority to issue Investment Registration Certificates and Business Registration Certificates

1. The Business Registration System in Vietnam

To manage and license businesses, Vietnam organizes a system of Business Registration Agencies at the provincial level as follows:

- The primary facility is the Business Registration Office, under the Department of Planning and Investment. This is the most important relationship in the subsequent work of handling business registration procedures in the province or city. The Business Registration Office may have additional locations for receiving applications and delivering results in various places throughout the province to facilitate convenience for citizens and businesses.

2. Main authority of the Business Registration Office

According to Decree 01/2021/ND-CP on business registration, specifically Articles 14 and 15, the Business Registration Office under the Department of Planning and Investment is the agency with the main function and authority in issuing Business Registration Certificates . The duties and powers of the Business Registration Office are very broad, including:

- Directly receiving and processing applications: The Business Registration Department will receive business registration applications, be responsible for the validity of the applications, and decide whether to grant or accept the business registration certificate.

- Guidance and support: Providing detailed guidance to businesses and business founders on necessary procedures and documents. Simultaneously, guiding district-level business registration offices on business registration procedures.

- Data management and updating: Coordinate the development, operation, and management of the National Business Registration Information System. Ensure that local business registration data is always standardized and updated in the national database.

- Providing information: Sharing business registration information with relevant authorities such as provincial People's Committees, tax authorities, anti-money laundering agencies, and other stakeholders upon legitimate request.

- Inspection and supervision: The Business Registration Department has the right to request businesses to report on their compliance with the Business Law. In addition, the Business Registration Department can directly or request competent authorities to inspect and supervise businesses based on the content of their registration documents. This agency also supervises the business registration activities of district-level business registration agencies.

- Handling violations and revocation: Businesses are required to temporarily continue operating in conditional sectors and professions if there are no manual regulations. Specifically, the Business Registration Office has the authority to revoke the Business Registration Certificate and operating licenses of branches and representative offices if the business violates the law.
